IdeaNexus Terms of Service — Australian SaaS DRAFT
1. About us and these terms
IdeaNexus is operated by [TO CONFIRM: Australian legal entity, trading name and ABN/ACN], of [TO CONFIRM: address] (we, us). Contact: [TO CONFIRM: support email]. Effective date/version: [TO CONFIRM].
These terms govern your use of IdeaNexus. If you use it for an organisation, you must have authority to agree on its behalf. Minimum age and eligible customer countries: [TO CONFIRM]. Our Privacy Policy explains how we handle personal information; it is not a blanket consent to unrelated uses.
2. Accounts and service
Provide accurate account information, keep access credentials secure, and tell us promptly if you suspect unauthorised access. You are responsible for activity you authorise and for taking reasonable care of your account; you are not automatically responsible for failures caused by us.
IdeaNexus supports business idea discovery, research, AI conversations, planning and application generation. Features and usage allowances depend on the plan and features actually available to you. We may carry out maintenance and address security problems. We will give reasonable notice of material changes where practicable. Changes that materially reduce a paid service require an appropriate remedy, including any remedy required by law.
3. AI output and generated applications
AI output may be inaccurate, incomplete, outdated or similar to output supplied to others. Check sources, assumptions, generated code, dependencies and licences before relying on or publishing output. IdeaNexus does not promise business revenue, investment returns or that an application is secure or legally compliant. Output is general assistance and does not replace qualified professional advice where that is needed.
Before deploying an application, test its behaviour, security and data handling. You are responsible for your deployment choices, required permissions, end-user notices and lawful operation. Hosting, domains, databases, payment accounts and other third-party services may have separate terms and charges, which should be disclosed before you choose them. An IdeaNexus subscription does not itself establish payment services for an application you build. These responsibilities do not remove our obligations under applicable law.
4. Your content and rights
You retain your rights in material you submit. You give us a non-exclusive permission to store, process, reproduce and transmit that material only as needed to provide the features you request, maintain and secure the service, and meet legal obligations. We may involve service providers for those purposes as described in the Privacy Policy. This permission does not allow us to sell your content or publish private projects for marketing without separate permission.
As between you and us, you may use the generated output, including commercially, and we assign to you any rights we hold in that output to the extent those rights can be assigned. We retain ownership of our platform and pre-existing tools. Third-party material remains subject to its own rights and licences; output may not attract exclusive intellectual property protection. [TO CONFIRM: compatibility of this proposed output grant with all model, code and other provider agreements.]
Only submit material you are entitled to use and share for the requested processing. Do not submit secrets, sensitive personal information or another person's confidential information unless the relevant feature is expressly approved for that purpose and you have the necessary authority. [TO CONFIRM: any permitted sensitive-data use cases.] Any use for model training requires separately confirmed terms and disclosures; this draft does not establish a training permission.
5. Subscriptions, cancellation and refunds
Current release note: Dodo Test Mode is being used for testing. Test products and simulated transactions are not live offers. The following clauses are proposed for an approved paid release.
Before purchase, the checkout must state the price, currency, taxes, billing period, renewal arrangements and plan limits. Approved details, trials and plan-change/proration rules: [TO CONFIRM]. The contracting seller and Dodo merchant-of-record relationship must match the actual checkout: [TO CONFIRM].
Where the checkout clearly specifies a recurring subscription, it renews at the disclosed interval until cancelled. Proposed cancellation rule: you may cancel future renewals through [TO CONFIRM: verified billing portal or support process]; cancellation takes effect at the end of the paid billing period and you retain access until then. Confirm operational timing before publication. Price increases apply prospectively, with reasonable advance notice and an opportunity to cancel before the next charge.
Contact [TO CONFIRM: billing contact] about incorrect charges or refund requests. Refund requests will be assessed under applicable law and [TO CONFIRM: approved additional refund policy]. There is no blanket exclusion of refunds. Payment failures, refunds and disputes may affect access, but we will explain the reason and provide a way to resolve errors. [TO CONFIRM: notice, review and access-restoration process.] Exercising a lawful refund or complaint right is not itself misuse.
6. Acceptable use and suspension
Do not use the service for unlawful conduct, infringement of others' rights, fraud, malware, harassment or unauthorised access. Do not disrupt the service or evade legitimate security and usage controls.
We may restrict access where reasonably necessary to address a material breach, security threat or legal requirement. Restrictions should be proportionate. We will explain the reason and allow a reasonable opportunity to correct a remediable breach, unless immediate action is needed or notice is legally restricted. You may request review through our support contact. [TO CONFIRM: responsible owner and procedure.]
You may request account closure through [TO CONFIRM: supported contact/process]. Closing an account and cancelling a subscription are distinct actions; we will explain and confirm the billing effect of closure. Export opportunities and resource shutdown arrangements: [TO CONFIRM]. Data retained after closure is governed by the Privacy Policy and applicable law.
7. Australian consumer rights and liability
Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law or other applicable law. Where those rights apply, you may be entitled to remedies for a failure to meet the required standard. Our AI limitations and service descriptions do not override those rights.
Each party remains responsible for losses for which it is legally liable. No contractual monetary liability cap, broad indemnity or general exclusion of liability is proposed in this draft. [TO CONFIRM: whether any tailored limitation is needed after legal review; it must preserve mandatory rights and be fair for the intended customers.]
8. Changes and disputes
We will identify the effective date of revised terms and give reasonable advance notice of material changes. Changes will not retrospectively remove accrued rights. If a change materially disadvantages you, we will provide an appropriate opportunity to end the affected service and any remedy required by law. [TO CONFIRM: notice channel and lead time.]
Please contact support first so we can try to resolve a concern. This does not prevent you seeking urgent relief or using a regulator, tribunal or court. These terms are governed by Australian law and the laws of [TO CONFIRM: state or territory], without limiting mandatory protections or forums available to you.
